The following terms and conditions of business (hereinafter referred to as the "Terms of Purchase") apply to the General Terms and Conditions of Business of SumUp Payments Limited, 52 Broadwick Street, W1F 7AH, London, UK, online accessible at https://sumup.ie/terms. If the terms of purchase conflict with the general terms and conditions, these terms of purchase always have priority.
1. Parties to the Terms of Purchase
The parties to these Terms of Purchase are SumUp Services GmbH (hereinafter referred to as "SumUp"),Koppenstr. 8, 10243 Berlin, Germany and the merchant who is not a consumer within the meaning of § 13 BGB (hereinafter referred to as "merchant").
2. Object of regulation
An integral part of these terms and conditions is the purchase of items offered online in the shop at http://shop.sumup.ie.
3. Offer and conclusion of contract
A binding agreement to purchase of an article results only by sending the order form on the website In order to have a binding agreement of the purchase of an article, the merchants needs to fill out the order form on the website and SumUp needs to confirm explicitly in writing the acceptance.
4. Delivery
4.1. The delivery of the order usually takes place within five to ten (5-10) business days after order confirmation by SumUp.
4.2. If the delivery time exceeds this period, the merchant can contact the SumUp Customer Service by email (support@sumup.ie).
5. Purchase price
5.1. For the purchase of the item, the merchant pays the price stated at the time of the order on the SumUp website for the specific article.
5.2. All prices are net prices and are subject to statutory value-added tax.
5.3. SumUp reserves the right to change the purchase price at any time.
5.4. Unless stated otherwise, shipping costs are included in the purchase price.
6. Retention of title
The delivered goods remain the property of the SumUp Services GmbH until the purchase price was fully paid.
7. Terms of payment
7.1. The purchase price is paid electronically on the website.
8. Warranty
8.1. For a period of twelve (12) months starting at the time of the delivery to the merchant, SumUp guarantees that the delivered products have the agreed quality and / or that there are no deficiencies regarding legal regulations.
8.1.1. If a defect is detected within the first three (3) months, it is assumed that the product was already deficient at the time of delivery to the merchant.
8.1.2. If such a defect occurs only after the expiration of three (3) months, it is assumed that the merchant has caused the defect by culpable conduct, in particular improper use. A claim arising from warranty is only possible if the merchant proves that the defect already existed at the time of delivery.
8.1.3. There is no warranty obligation in the following cases: (i) objections to the products beyond the twelve (12) months of warranty; (Ii) improper use and handling of the products as a cause of the malfunction; (Iii) NTF cases ("No Trouble Found").
8.2. Otherwise, the statutory regulations apply.

10. Liability
10.1. SumUp is liable in accordance with the statutory regulations for damages to life, body and health which are based on a culpable breach of contract by SumUp Services GmbH, the legal representatives of SumUp Services GmbH or the vicarious agents of SumUp Services GmbH.
10.2. Furthermore, SumUp is liable for other direct damages which are based on intentional or grossly negligent breaches of contract as well as fraudulent claims by SumUp Services GmbH, the legal representatives of SumUp Services GmbH or the vicarious agents of SumUp Services GmbH. As far as the scope of the product liability act is concerned, SumUp is fully liable for its regulations. In addition, SumUp is not liable for indirect damages.
10.3. If a damage is caused by default or because of a defect on the simple negligent violation of a fundamental contractual obligation, i.e. the simply negligent violation of a duty, the fulfillment of which allows the proper execution of the contract at first and on which the merchant as a buyer may regularly rely ("Major obligation"), the liability of SumUp Services GmbH is limited to the foreseeable and typically occurring damage. The same applies if the merchant is entitled to claim for compensation instead of service.
11. Final clauses
11.1. Other terms and conditions, in particular also the General Terms and Conditions of the merchant, shall not apply; Only the general terms and conditions of SumUp Payments Limited as well as these terms and conditions of purchase apply.
11.2. Deviating regulations require a written form as well as the written confirmation by SumUp.
11.3. These terms and conditions of purchase are subject to and are to be interpreted in accordance with the law of the Federal Republic of Germany under the exclusion of the UN purchase law.
11.4. The court of jurisdiction for all legal disputes arising from these terms of purchase is in Berlin.
